GENERAL

1. Overview

These General Terms and Conditions (the “Terms”) describe your rights and obligations regarding your JOIN ME flex office rental agreement and other services set out in these Terms (the “Services”). We ask that you read these Terms carefully, as they affect your legal rights.

Among other things, these Terms include your agreement that disputes between you and us will be resolved through binding, individual arbitration and that you waive your right to participate in a class action or class arbitration.

By using our Services, you agree to comply with and be bound by these Terms. We may amend or update these Terms from time to time.

2. Who We Are

For the purposes of these Terms, we are the JOIN ME flex office branch listed on your invoice, depending on (i) the type of Services you purchase, (ii) where the Services are deemed to be provided, or (iii) where your Primary Location (defined below, if applicable) is located.

We reserve the right to change the legal entity that invoices you for the Services. The relevant entity with whom you enter into these Terms will be referred to in these Terms as “we,” “us,” “our,” or “JOIN ME flex office.”

3. Additional Policies, Terms and Services

We process personal data as set out in our Privacy Policy. If you have questions about our Privacy Policy, please contact us at info@joinmeflexoffice.nl.

4. Who You Are

References to “you,” “your,” and similar terms in these Terms refer to the individual or entity registering for one or more of the Services and agreeing to be bound by these Terms.

If you enter into these Terms on behalf of an entity, you represent and warrant that you have all necessary rights, authority, and permissions to bind that entity to these Terms.

If you are located outside the United States (“U.S.”), by agreeing to these Terms you confirm that you are using the Services for business purposes and not as a consumer.

5. What Are “Services”?

In these Terms, “Services” refers to the benefits described on our public website, as amended from time to time, for the specific rental agreement you have entered into and any other services you may have purchased or rented from us.

The Services you are entitled to depend on:
(a) the level of rental agreement you have entered into;
(b) the available Services, which may vary by geographic region or specific JOIN ME flex office location; and
(c) additional features and Services you have selected, referred to as a “Service Package,” which may be subject to additional guidelines, terms and/or rules (“Additional Terms”), including additional payment obligations.

Your use of these features will be deemed acceptance of the applicable Additional Terms, which are incorporated into these Terms by reference.

6. Changes to Our Services or These Terms

The availability and scope of the Services may change from time to time at our sole discretion. Services offered at our Locations may also change.

We may also make changes, deletions, or additions to these Terms. We will notify you of changes applicable to you via email to the last email address provided in your profile.

Most changes will take effect immediately upon notice, except changes to prices and fees, which will take effect at the start of your next subscription period.

If you do not agree to the changes, you may cancel your rental agreement at any time, but no refunds will be issued for early termination. Continued use of the Services after notice constitutes acceptance of the changes (including increased fees).

Your use of the Services is subject to the Terms in effect at the time of use.

CREATING YOUR JOIN ME FLEX OFFICE RENTAL AGREEMENT

7. Eligibility

The Services are available to individuals at least 18 years old, unless otherwise determined by us (“Eligible Age”). No one under the Eligible Age may use the Services or provide personal information.

You agree to provide accurate and complete information when registering and using the Services. By using the Services, you represent and warrant that you meet all eligibility requirements, including the Eligible Age.

8. Passwords

Never share your account password, access code, or other access credentials (nor allow others to use your account), even if they are affiliated with your company. Do not duplicate keys or access devices (“Access Devices”).

You are responsible for maintaining the confidentiality of your password and the security of your Access Device. If you believe unauthorized use has occurred, change your password and contact us at info@joinmeflexoffice.nl.

Access Devices remain our property and must be returned immediately upon termination or expiration of your agreement. Replacement fees may apply.

9. Company Affiliation

During registration, you must specify the company associated with your profile. You agree not to misrepresent your affiliation or provide misleading information.

If your relationship with the listed company changes, you must promptly update or deactivate your account.

If you are an authorized representative of an entity purchasing Services, you represent and warrant that:
(a) you have authority to create, manage, and terminate the corporate account and manage members; and
(b) you have obtained necessary consents for account creation and processing of personal information inside and outside the U.S.

You agree to indemnify us for losses resulting from breach of these warranties.

PAYMENT

10. Payments

By entering into a rental agreement and providing payment details, you agree to pay recurring and non-recurring fees associated with your selected Services.

Recurring fees (“Membership Fees”) may be charged up to 10 days before the rental period begins unless otherwise notified. Non-recurring fees will be charged within 21 days after incurred.

Late payment penalties apply if payment is not received by the start of the rental period.

We may suspend or terminate Services if we cannot charge your payment method. Payments received will first be applied to overdue balances.

VAT adjustments will be credited or adjusted in accordance with applicable law.

11. No Refunds

All Membership Fees are non-refundable and must be paid in the specified currency.

USE OF SERVICES

12. House Rules

Each Location has its own House Rules, which you must comply with. House Rules are incorporated into these Terms and may be revised from time to time.

You may not engage in disruptive, damaging, or dangerous activities.

13. Flexdesks and Primary Locations

If you purchase a Flexdesk subscription, you must designate a Primary Location. Workspace use is subject to availability.

14. Fixed Desk or Office Space

Access is limited to the specific workspace and during Normal Office Hours (generally 6:00 AM–10:00 PM local time on Business Days, excluding public holidays and up to three additional notified days).

15. Common Areas

Common Areas may only be used temporarily around reserved time slots and not for ongoing daily work.

Cameras are installed in Common Areas. Footage is stored but not shared with third parties unless urgently required.

16. Mail

If available, you may receive mail and packages for an additional fee. We are not liable for unsigned deliveries or fraudulent use.

We are not required to store mail for more than 30 days or after termination. Bulk or oversized mail need not be accepted.

17. Security

You may be required to show valid government-issued photo ID. If permitted by law, we may verify by photographing your ID.

18. Property

We are not responsible for personal property left at Locations. You must remove belongings before termination.

Abandoned items may be removed at your expense.

19. Pets

Pets are not allowed at our Locations.

20. Damage

You may be held liable for repair costs for damage caused by you or your guests.

LIMITATIONS OF LIABILITY

25. Disclaimer and Waiver

Services are provided “AS IS.” To the extent permitted by law, JOIN ME flex office disclaims all warranties, express or implied.

We are not liable for indirect, incidental, consequential, or punitive damages.

You waive claims for injury, loss, theft, or damage and agree to indemnify us accordingly.

26–29.

We are not responsible for actions of other users or third-party providers.

Total liability is limited to amounts paid by you in the 12 months prior to the claim. Some jurisdictions may not allow certain exclusions.

 

GOVERNING LAW

32. Governing Law

These Terms are governed exclusively by Dutch law.

33. Jurisdiction

Disputes will be resolved by a competent court in the location where the premises are located (currently Amsterdam or Haarlem).

35. Class Action Waiver

All proceedings will be conducted on an individual basis only. No class actions or representative proceedings are permitted.

GENERAL PROVISIONS

36. Entire Agreement

These Terms constitute the entire agreement between the parties.

37–44.

If any provision is unenforceable, the remainder remains in effect.
These Terms do not create property rights, partnerships, or agency relationships.
Sanctions compliance and anti-corruption laws apply.
Certain provisions survive termination.

45. Publicity

If you consent to the use of your name/logo as a member, we may use it for promotional purposes unless you object in writing.
